Part A

Terms and Conditions of Use

At Dhanzo, we want you to feel confident, informed and supported every time you use our Platform (defined hereinafter) or engage with the Services (defined hereinafter). We believe professional and business services should be easier to access, simpler to understand and more transparent at every step.

These Terms and Conditions of Use ("Terms") explain how the Dhanzo Platform works, the role Dhanzo plays in facilitating access to Services, the role of our professional partners and third-party service providers, what we expect from you, and what you can expect from us. In particular, these Terms set out:

  • how you can access and use the Platform, and create and manage your Account;
  • how Services are requested, matched with Expert Partners, and delivered;
  • the respective roles and responsibilities of Dhanzo and Expert Partners;
  • how prices are shown, and the terms that apply to Orders, payments, subscriptions, cancellations and refunds;
  • how your information, documents and credentials are used, handled and protected;
  • what Dhanzo can and cannot guarantee, and the limits on liability that apply;
  • your rights, and your responsibilities when using the Platform and Services; and
  • how you can raise a concern, and how disputes are resolved.

These Terms govern your access to and use of the website www.dhanzoapp.com, the Dhanzo mobile applications, and any related web applications, APIs and digital interfaces (together, the "Platform"), by any person who visits, registers on or uses the Platform ("you", "your" or "User"). They apply to you in relation to every Service you request or avail through the Platform.

"Dhanzo" is the brand name under which the Platform is owned and operated by Future Human Technology Private Limited ("Dhanzo", the "Company", "we", "our" or "us"), a private limited company incorporated under the Companies Act, 2013, bearing Corporate Identification Number U62090HR2025PTC134625, with its registered office and corporate office at 4th Floor, GSC Tower, Plot B, South City I, Sector 30, Gurugram, Haryana – 122001, India. References to Dhanzo in these Terms mean Future Human Technology Private Limited, and include its successors and permitted assigns.

If you have any questions about these Terms, please contact us at compliance@dhanzoapp.com before you use the Platform.

1. Acceptance of these Terms

1.1 These Terms form a legally binding agreement between you and Dhanzo. Where you use the Platform on behalf of a business or other entity, they bind that entity.

1.2 By accessing, browsing or registering on the Platform, ticking an acceptance box, or placing an Order, you ("User", "you" or "your") confirm that you have read, understood and agree to be bound by these Terms and by the following, each of which forms part of these Terms:

3. Nature of the Platform and Role of Dhanzo

3.1 The platform provided by the Company is a managed marketplace platform enabling users to access on-demand finance experts and professional services including taxation, regulatory registrations and filings, compliance support, accounting, financial documentation and business support services.

3.2 Company acts only as a technology-enabled managed marketplace facilitating user acquisition, order management, communication, and payment collection and shall not be responsible for the professional advice or outcome of services rendered by the Expert Partner

3.3 Each Expert Partner acts as an independent professional service provider, and not as an employee or agent of Dhanzo. All professional advice, filings, submissions, calculations, interpretations, recommendations, certifications, documentation and services delivered to you through the Platform are solely the responsibility of the Expert Partner who delivers them. The Expert Partner remains solely responsible for the quality, legality, accuracy and consequences of the services delivered to you.

3.4 The Company is not the service provider and does not independently verify, certify, approve, or endorse the professional advice rendered by Expert Partners and that such Expert Partners act as an independent professional service provider and remains solely responsible for the quality, legality, accuracy, and consequences of services delivered to users;

3.5 Company may allocate or reallocate an Order to any Expert Partner based on availability, specialisation and the needs of the Order, and may change the Expert Partner assigned to an Order at any time to support timely delivery.

3.6 Company is not a firm of Chartered Accountants, Company Secretaries, Cost Accountants or advocates. Dhanzo does not render any service that the law reserves for those professionals, and does not provide legal advice, audit services, or investment advice regulated by the Securities and Exchange Board of India. Using the Platform does not create a professional-client relationship between you and Dhanzo.

3.7 Dhanzo may set onboarding, conduct and service-level standards for Expert Partners and monitor service quality on the Platform. Doing so is for the purpose of operating the marketplace and does not make Dhanzo responsible for the professional work of any Expert Partner.

4. Services that need a Regulated Professional

4.1 Some Services include a step that, under Applicable Law, only a Regulated Professional may perform. For example, certification of a company or LLP incorporation form or annual filing by a Chartered Accountant, Company Secretary or Cost Accountant in practice, a secretarial audit by a Company Secretary, or representation before the Trade Marks Registry by a registered trade marks agent or advocate. For that step:

  1. you may engage a Regulated Professional of your choice, including from Dhanzo's directory of empanelled professionals, under a separate engagement directly between you and that Regulated Professional;
  2. the Regulated Professional sets and invoices the professional fee for that step in their own name, and that fee is shown to you as a separate line before you pay;
  3. the Regulated Professional alone is responsible for the certification, report, representation or other Reserved Service, and Dhanzo is not a party to that engagement; and
  4. where you pay that fee through the Platform, Dhanzo or its payment partner only collects it on the Regulated Professional's behalf and passes it on in full, without retaining any part of it.

4.2 Dhanzo does not advertise, recommend or price Reserved Services. Complaints about them should be raised with the Regulated Professional concerned, although we will help you contact them.

5. Information, Guidance and Fira

5.1 Articles, blogs, calculators, checklists, due-date reminders, Community posts, and any other general information on the Platform are for general information and service support only. They are not professional advice for your specific situation and should not be relied on as such.

5.2 Fira. Fira is an AI assistant that gives general, automated responses. Its answers may be incomplete, out of date or wrong, are not reviewed by an Expert unless we say so, and are not professional advice. Do not share passwords, OTPs or full Aadhaar or bank details with Fira. Please verify any important information with an Expert before acting on it.

5.3 While we make reasonable efforts to keep information accurate and up to date, we do not warrant that it is complete or error-free. You should use your own judgement before relying on it.

5.4 Changing law and third-party information. Laws, rules, forms and due dates change frequently, and their effect depends on the facts of each case, so information on the Platform may become outdated or may not apply to you. Some information, news summaries and links come from government sources or third parties. Dhanzo does not own or control that content, and is not responsible for its accuracy or for the content and practices of any linked website. Your use of a third-party website is governed by that website's own terms and policies.

5.5 No reliance as professional advice. Information on the Platform is provided on the understanding that Dhanzo is not rendering legal, accounting, tax or other professional advice through it. You should consult a qualified professional, or order the relevant Service, before making any decision or taking any action based on it.

6. Eligibility, Sign-up, KYC and Consent

6.1 Eligibility. You must be at least 18 years old, legally competent to contract under Indian law, and not previously suspended or barred from the Platform. If you use the Platform for a business, firm, LLP, company, trust or other entity, you confirm that:

  1. the entity is duly incorporated or constituted and validly existing under the laws of India;
  2. you are authorised to act for it and to bind it to these Terms, and "you" includes that entity; and
  3. the entity has full power and authority to avail the Services and perform its obligations under these Terms, and doing so will not breach its constitutional documents, any agreement binding on it, or any applicable law.

6.2 Information we may ask for. To provide a Service, Dhanzo or an Expert Partner may ask you for information and documents such as your name, parents' names, date of birth, gender, PAN, signature, marital status, nominee details, photograph or video for verification, mobile number, email address, address, educational or professional qualifications, business name, address and nature of business, GSTIN, TAN, CIN or LLPIN, bank account details, a cancelled cheque, UPI ID, and other payment or KYC details, as relevant to the Service. You may be asked for these at sign-up or at any later stage.

6.3 Aadhaar is voluntary. Providing your Aadhaar number is voluntary, unless the law or the specific Service (for example, Aadhaar-based e-verification of a return) requires it. Where the law allows, you may provide an alternative identity or address document instead.

6.4 Accuracy. You warrant that all information you provide is true, accurate, current and complete, and that you will not misrepresent your identity, your authority or your business. You must keep your Account information up to date.

6.5 Information about other people. If you upload or share information about any other person (for example, directors, partners, shareholders, employees, family members, customers or vendors), you confirm that you have obtained their consent, in writing where the law requires, for:

  1. Dhanzo, its Expert Partners and service providers to use that information to deliver the Service; and
  2. Dhanzo to contact them about the Service where needed.

If any such person refuses or withdraws consent, you must stop using the Services in relation to their information and tell us. You are solely responsible for obtaining and keeping such consents, and Dhanzo may rely on your confirmation.

6.6 False or outdated information. If any information you provide is false, inaccurate, misleading or outdated, or we have reasonable grounds to suspect so, we may verify it, suspend or close your Account, refuse or cancel any Order, and prevent your current or future use of the Platform.

6.7 Account security. You are responsible for all activity under your Account and for keeping your login details, OTPs and devices secure. You may have only one Account unless we agree otherwise. Please tell us immediately at compliance@dhanzoapp.com or 97178 86607 if you become aware of any unauthorised access to, or use or disclosure of, your Account or any other security breach. Dhanzo is not responsible for loss caused by your failure to keep your Account secure.

6.8 Deleting your Account. You may request deletion of your Account at any time from the Delete Account page or by writing to us. We will delete your Account and personal data as described in the Privacy Policy, except data we must keep by law. Pending Orders and Subscriptions will be closed, and any refund will be governed by the Schedule.

7. Your Responsibilities

7.1 You agree to:

  1. provide true, accurate, complete and lawful information and documents, in time for us to meet any statutory deadline;
  2. respond to queries from Dhanzo and its Experts, and provide clarifications and verifications promptly;
  3. review every draft, return, form or application shared with you, and confirm it on the Platform before it is filed;
  4. pay all fees, taxes and Government Fees for your Order;
  5. inform us promptly of any notice, query or communication you receive from an authority about a Service; and
  6. keep your own copies of all documents and filings.

7.2 You are solely responsible for the accuracy, authenticity and legality of the information and documents you provide. Dhanzo is not responsible for delays, rejections, penalties, interest or other consequences arising from incorrect, incomplete, false, misleading or late information or documents provided by you.

7.3 Due dates shown on the Platform are reminders only. You remain responsible for meeting your statutory obligations, including obligations for which you have not placed an Order.

7.4 Lawful use. You agree to use the Platform and Services only for lawful purposes. You are responsible and accountable for all activity carried out through your Account and your use of the Services, and, to the extent permitted by law, Dhanzo is not liable for any consequence of that activity.

7.5 Your representations and undertakings. You represent, agree and acknowledge that you:

  1. will provide only genuine documents, and information that belongs to you or that you are authorised to share;
  2. are the owner, or authorised user, of every bank account, GSTIN, PAN, DSC, government portal login and mobile number you use for a Service;
  3. will not use the Platform or any Service for tax evasion, fake invoicing, circular trading, wrongful input tax credit, bogus refunds, benami or shell arrangements, money laundering, terrorist financing or any other unlawful purpose;
  4. will comply with all laws that apply to you, including tax, GST, company, labour and foreign exchange laws, and the terms of use of any government portal accessed for your Service;
  5. will not ask an Expert Partner or Dhanzo to file anything that you know or suspect to be false, incomplete or misleading, or to backdate any document;
  6. understand that Expert Partners act on the information you provide, and that you remain responsible for its accuracy and for the decisions you take;
  7. will not hold Dhanzo responsible for any act, omission, advice or work of an Expert Partner, Regulated Professional or third-party service provider, which is solely their responsibility;
  8. will cooperate with any reasonable verification, enquiry or investigation by Dhanzo, a payment partner or an authority, and promptly provide the information requested;
  9. will not misuse the refund, chargeback, offer or referral processes;
  10. will not record, publish or share any communication with an Expert Partner or Dhanzo staff in a way that misrepresents it or harms their reputation; and
  11. will indemnify Dhanzo under Clause 21 if any of these representations is untrue or any undertaking is breached.

7.6 Sanctioned persons and jurisdictions. You represent that you are not, and are not owned or controlled by or acting for, any person who is:

  1. designated or listed under the Unlawful Activities (Prevention) Act, 1967, the Weapons of Mass Destruction and their Delivery Systems (Prohibition of Unlawful Activities) Act, 2005, or any sanctions list of the United Nations Security Council;
  2. located in, organised under the laws of, or ordinarily resident in a country or territory that is subject to comprehensive sanctions or embargoes imposed by the United Nations Security Council or the Government of India, or with which trade is prohibited under Indian law; or
  3. otherwise prohibited by Indian law from receiving the Services.

Dhanzo may decline to provide, suspend or terminate any Service, block access from any jurisdiction, withhold or reverse payments where permitted by law, and report to the authorities, if it reasonably believes this Clause applies. The Platform is intended for Users in India; persons outside India use it at their own risk and are responsible for complying with the laws that apply to them.

8. Prices and Payments

8.1 Price shown upfront. Before you pay, the Platform shows the total amount for your Order, itemised as applicable into:

  1. Dhanzo's service fee;
  2. any platform or processing fee;
  3. GST;
  4. Government Fees; and
  5. any separate fee of a Regulated Professional under Clause 4.

No charge is added after you confirm the Order, except as described in Clause 8.3 or with your consent.

8.2 Payment. Payments are processed through RBI-authorised payment gateways, UPI and other authorised payment systems. We do not store your full card or UPI details. Prices are in Indian Rupees and include GST unless stated otherwise. A Service is confirmed only when payment is successfully received.

8.3 Government Fees. Government Fees are paid to the authority concerned at actuals and are not Dhanzo's revenue. If an authority's fee changes after you pay, or the final fee depends on information not available at the time of your Order (for example, stamp duty based on authorised capital), we will tell you before proceeding and either refund or collect the difference.

8.4 Scope of the price. The price covers only the scope described for the Service on the Platform at the time of your Order. Additional work, such as replying to a notice, additional filings, revised or belated returns, or rework caused by changed or late information from you, will be quoted separately and done only with your agreement.

9. Service Delivery and Timelines

9.1 Dhanzo aims to enable prompt and efficient delivery of Services through its technology and Expert Partners. All Services are rendered on a best-efforts basis.

9.2 Timelines shown on the Platform are estimates based on normal processing. They depend on, among other things:

  1. the availability, completeness and accuracy of your documents and information;
  2. verification requirements;
  3. processing times, queries, objections and decisions of government and regulatory authorities;
  4. availability and performance of government portals and third-party systems; and
  5. changes in law, rules or procedures.

9.3 Dhanzo is not responsible for delays or failures caused by any of the factors in Clause 9.2 that are outside its control.

9.4 If a filing or application prepared by an Expert Partner contains an error caused by the Expert Partner, Dhanzo will require the Expert Partner to correct and resubmit it at no extra service fee. Government Fees, late fees or interest arising from your own delay or information are not covered.

9.5 Final filings, acknowledgements, certificates and reports are made available in your Account and, where applicable, sent to your registered email.

9.6 Registrations, licences, certificates, approvals, filings and other work that depend on a government department, regulator, registrar or portal are processed at that authority's discretion and pace. Neither Dhanzo nor any Expert Partner can assure the time within which such work will be completed or approved, and a delay or rejection by an authority is not a ground for refund except as stated in the Schedule.

9.7 Unless the Platform, Dhanzo or the Expert Partner has expressly told you that they are included in the price, Government Fees, stamp duty, notary charges, late fees, penalties and other statutory charges are extra, and are payable by you at actuals. Where the amount becomes known only after the Order is placed (for example, stamp duty based on your State and authorised capital, or a late fee on a delayed return), we will tell you before paying it on your behalf.

10. Consultations

10.1 You can book a Consultation with an Expert for a specific slot. Please join on time and have your documents ready.

10.2 Consultations provide general guidance on the topic booked. Any filing, document or further work is a separate Service, unless the Consultation package says otherwise.

10.3 Rescheduling, no-shows and refunds for Consultations are governed by the Schedule.

10.4 Consultations may be recorded or summarised for quality, training and record purposes, and you will be told when this happens.

11. Communications

11.1 You agree that Dhanzo and its Experts may contact you by call, SMS, email, WhatsApp, in-app chat and notifications about your Account, Orders, due dates and Services, even if your number is registered on the National Customer Preference Register ("Do Not Disturb") list, as these are transactional and service communications.

11.2 We will send promotional messages only with your separate consent, which you can withdraw at any time from your Account settings or by using the unsubscribe option in the message.

11.3 Communications with Experts about an Order should take place through the Platform's channels, so that they are recorded and you are protected.

12. Community, Reviews and Feedback

12.1 The Community section allows Users to post questions, answers and comments. Posts by Users and Experts in the Community are general discussion, not professional advice, and do not reflect Dhanzo's views.

12.2 By posting Content, reviews or feedback, you grant Dhanzo a non-exclusive, royalty-free, worldwide licence to use, display, reproduce and adapt it in connection with the Platform and our business. You confirm that your Content is your own, is accurate, and does not breach any law or any person's rights.

12.3 You must not post personal data of others, confidential information, defamatory, abusive, obscene or misleading Content, or advertisements. We may remove any Content and suspend Community access at our discretion, and will act on complaints as required by law.

12.4 Reviews must reflect your genuine experience. We do not pay for, or selectively publish, reviews in a way that would mislead other Users.

13. Disclaimer and No Guarantees

13.1 The Platform and Services are provided on an "as is" and "as available" basis. While we take reasonable care, Dhanzo does not guarantee:

  1. approval of any application, registration or filing by a government or regulatory authority;
  2. any particular tax outcome, refund, financial gain or business result;
  3. regulatory acceptance of any submission;
  4. completion within any particular timeline; or
  5. that the Platform will be uninterrupted, secure or error-free.

13.2 Some Services require interaction with government portals, regulatory authorities or third-party systems, which Dhanzo does not control. Dhanzo is not responsible for their processing delays, decisions, rejections, outages or technical failures, or for changes in laws, rules or procedures.

13.3 Decisions you make based on information or Services obtained through the Platform are your own responsibility. Use of the Platform is at your own discretion.

13.4 Dhanzo is not responsible for any professional advice, filing, certification or other service rendered by an Expert Partner or a Regulated Professional, which is solely their responsibility under Clauses 3.4 and 4.

13.5 The Platform may link to government portals and third-party websites. Dhanzo does not control and is not responsible for their content, availability or privacy practices.

13.6 To the extent permitted by law, Dhanzo disclaims all warranties and conditions, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. In particular, Dhanzo does not warrant that the Platform or Services will meet your specific requirements, that information obtained through the Platform will be complete or accurate, that any error in the Platform will be corrected, or that files available for download will be free of viruses or harmful code.

13.7 Many Services depend on technology systems operated by others, including government portals (such as the GST, income-tax, MCA, EPFO and ESIC portals), the National Informatics Centre, banks, payment networks, certifying authorities and telecom networks. Dhanzo is not responsible for any delay, error or failure in those systems, including authentication failures, server downtime, network failure, changes in their processes or technical errors.

13.8 Dhanzo will use reasonable efforts to keep the Platform available, but it may be unavailable during scheduled maintenance, updates, outages of internet or cloud infrastructure, failure of your own device or connection, actions of third-party providers, events described in Clause 25.4, or directions of an authority.

14. Offers, Coupons and Referrals

14.1 Discounts, coupons, cashback and referral rewards are subject to the terms shown with each offer, are valid only for the period stated, cannot be combined unless stated, and have no cash value.

14.2 We may withdraw or change an offer at any time, but not for an Order you have already paid for. We may cancel rewards obtained through misuse, multiple accounts or fraud.

15. Prohibited Use

You must not use the Platform to:

  1. provide false, forged or misleading information or documents, or impersonate any person;
  2. evade tax, claim false input tax credit or refunds, create or use fake invoices, or carry out money laundering, fraud or any other unlawful activity;
  3. upload Content that is unlawful, infringing, defamatory, obscene, harmful, or contains malware;
  4. scrape, copy, frame, reverse-engineer, overload or interfere with the Platform, its security or other Users;
  5. contact an Expert to obtain Services outside the Platform, or solicit Experts or Dhanzo staff;
  6. harass, abuse, threaten or discriminate against any Expert, Regulated Professional or member of Dhanzo's staff; or
  7. use the Platform in breach of any law.

We may refuse or cancel an Order, suspend or close your Account, and report unlawful activity to the authorities if we reasonably believe you have breached this Clause.

16. Cancellation, Refunds and Rescheduling

16.1 Cancellations, refunds and rescheduling are governed by the Refund, Cancellation and Rescheduling Policy in the Schedule, which forms part of these Terms. By completing a payment, you confirm that you have read and agree to it.

16.2 Government Fees, stamp duty and other amounts paid to authorities or third parties are not refundable once paid, except where the authority refunds them.

16.3 Please contact our support team before raising a payment dispute or chargeback with your bank. We will investigate and resolve genuine issues promptly. Chargebacks raised without first contacting us, or fraudulent refund claims, may lead to suspension of your Account and recovery action. This does not affect any right you have under law or under your bank's or the RBI's dispute rules.

17. Intellectual Property

17.1 The Platform and all its content, software, designs, workflows, text, graphics, trademarks and the "Dhanzo" and "Fira" names and logos belong to Dhanzo or its licensors and are protected by law. You may use the Platform only for your own lawful purposes, and may not copy, reproduce, distribute, sell or create derivative works from it without our written consent.

17.2 Documents prepared specifically for your Order, once paid for, are yours to use for your own purposes. Dhanzo keeps the right to use its templates, know-how and anonymised data.

17.3 Subject to these Terms, Dhanzo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform for availing the Services. All rights not expressly granted are reserved by Dhanzo.

17.4 You grant Dhanzo, its Expert Partners and service providers the rights needed to host, store, copy, transmit, process, analyse and display the data and documents you submit, to the extent required to deliver the Services, operate and secure the Platform, comply with law, and improve our Services using aggregated or de-identified data, in each case as described in the Privacy Policy. You confirm that you have the right to grant this licence.

17.5 If you give us suggestions or ideas about the Platform, we may use them freely without any obligation to you.

17.6 If you believe any content on the Platform infringes your intellectual property, please write to the Grievance Officer in Clause 23 with details, and we will act as required by law.

18. Privacy and Data Protection

18.1 Dhanzo collects, uses, shares and protects your personal data as described in the Privacy Policy in Part C, which complies with the Digital Personal Data Protection Act, 2023.

18.2 You consent to Dhanzo sharing your information and documents with the Expert assigned to your Order, a Regulated Professional you engage, government authorities and portals, payment partners, and our service providers, only as needed to deliver your Service and meet legal obligations. Dhanzo does not sell your personal data.

18.3 Dhanzo maintains records of the transactions, Orders, communications, approvals and payments made through the Platform, as required by law and for its legitimate business purposes. You acknowledge that government, tax and regulatory authorities may inspect or call for these records, and for your information held by Dhanzo, as permitted by law, and that Dhanzo will comply with such lawful requests.

18.4 By agreeing to these Terms and the Privacy Policy, you consent to Dhanzo storing and processing the data, documents and confidential information you provide or that pass through the Platform, on its own servers or those of its cloud and technology service providers, or in any other secure medium, for as long as needed to provide the Services and as required by law, as described in the Privacy Policy. You may withdraw this consent as set out in the Privacy Policy, subject to records Dhanzo must keep by law.

19. Authorisations, OTPs and Credentials

19.1 To file returns and applications, an Expert Partner may need an OTP, a login to a Government Portal (such as the income-tax, GST, MCA, EPFO or ESIC portal), your digital signature certificate (DSC), or a signed authorisation letter or board resolution. By providing these through the Platform, you authorise the Expert Partner, and Dhanzo for the purpose of facilitating your Order, to use them only for the specific action you approved for your Order.

19.2 Expert Partners are required not to store, forward or reuse your OTPs or passwords, and not to change your registered mobile number, email, password, bank account or authorised signatory. Never share an OTP or password outside the Platform's secure channel, or with anyone contacting you who claims to be from Dhanzo.

19.3 Your DSC, e-verification and Aadhaar authentication remain yours. You authorise their use only for filings you have approved, and you may revoke an authorisation at any time by telling us, subject to any filing already made.

19.4 Dhanzo is not liable for any misuse of Credentials that you share outside the Platform, or that are obtained from you by a third party.

19.5 You are responsible for your sensitive Personal Data, including your passwords, OTPs, DSC tokens and bank details. You share an OTP or other Credential only for a specific action, voluntarily and at your own discretion, and you may decline to do so. If you decline, the related filing may need to be completed by you directly, and Dhanzo will not be responsible for any resulting delay.

20. Limitation of Liability

20.1 To the maximum extent permitted by law, Dhanzo is not liable for:

  1. indirect, incidental, special, punitive or consequential loss or damage;
  2. loss of profit, revenue, business, opportunity, goodwill or data;
  3. regulatory penalties, interest, late fees or tax liabilities, which, where caused by an error in an Expert Partner's work, are the responsibility of that Expert Partner;
  4. delays or failures caused by government or regulatory authorities, portals or third-party systems; or
  5. losses caused by information or documents you provided, or by your delay.

20.2 Dhanzo's total liability to you for any claim relating to an Order is limited to the service fee you paid to Dhanzo for that specific Service, excluding Government Fees, GST and any Regulated Professional's fee. For Subscriptions, the limit in Part B applies.

20.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Consumer Protection Act, 2019 or any other law, including liability for fraud or gross negligence.

20.4 Subject to Clause 20.3, Dhanzo is not liable for any loss or damage arising from:

  1. any error, omission or inaccuracy in information on the Platform, or any bug in the Platform;
  2. unauthorised access to, or disclosure or alteration of, your data or communications, except to the extent caused by Dhanzo's failure to take reasonable security measures;
  3. any statement, advice, conduct or work of any Expert Partner, Regulated Professional, other User or third party;
  4. any dispute between you and an Expert Partner, Regulated Professional, another User or a third party; or
  5. your inability to use the Platform for reasons outside Dhanzo's reasonable control.

20.5 You acknowledge that the prices of the Services reflect the allocation of risk in these Terms, and that the limitations of liability in this Clause 20 are a fundamental part of the basis on which Dhanzo makes the Platform available.

21. Indemnity

21.1 You agree to defend, indemnify and hold harmless Dhanzo, its affiliates, directors, officers, employees and agents, on demand, against any claim, demand, proceeding, penalty, interest, loss, damage, liability, cost or expense (including reasonable legal fees and court costs) arising out of or in connection with:

  1. any breach of your obligations, representations, warranties, consents or undertakings under these Terms;
  2. false, incomplete, misleading or unlawful information or documents you provide;
  3. any misrepresentation, negligence, fraud, wilful concealment or misconduct by you or anyone using your Account;
  4. misuse of the Platform or Services for any unlawful or unauthorised purpose;
  5. any claim by a third party (including a person whose information you shared, or an authority) arising from your acts or omissions;
  6. any Content you post; or
  7. any breach of applicable law by you.

21.2 Dhanzo may take over the defence of any claim covered by this Clause, and you will cooperate with us. You may not settle any such claim without our written consent.

21.3 If you breach these Terms, Dhanzo may, in addition to any other remedy, seek injunctive or other equitable relief, and recover its reasonable legal costs where a court or tribunal allows.

22. Suspension and Termination

22.1 You may stop using the Platform or delete your Account at any time, as described in Clause 6.8.

22.2 We may suspend or terminate your access to the Platform, with or without prior notice, in cases of:

  1. misuse of the Platform or breach of these Terms;
  2. fraudulent, abusive or unlawful activity;
  3. non-payment; or
  4. legal or regulatory requirements, or a direction of any authority.

22.3 If we terminate your access for a reason other than your breach, we will complete or hand over Orders in progress, or refund the service fee for work not yet done.

22.4 Clauses 3, 8, 12.2, 13, 16, 17, 18, 19, 20, 21, 24, 25 and 27 continue to apply after termination.

24. Governing Law and Disputes

24.1 These Terms are governed by the laws of India.

24.2 We encourage you to raise any dispute with us first under Clause 23. Subject to your rights under consumer protection law, the courts at Gurugram, Haryana have exclusive jurisdiction.

24.3 Where you use the Platform for business purposes, any dispute that is not resolved within thirty (30) days under Clause 23 shall be resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Gurugram, in English.

25. General

25.1 Entire agreement. These Terms, together with the documents in Clause 1.2, are the entire agreement between you and Dhanzo about the Platform.

25.2 Severability and waiver. If any provision is found invalid, the rest continue to apply. Our failure to enforce a provision is not a waiver.

25.3 Assignment. You may not transfer your rights under these Terms. We may transfer ours to an affiliate or a successor.

25.4 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, government action, strikes, portal outages, cyber-attacks and network failures.

25.5 Notices. We will send notices to your registered email, mobile number or Account. You can send notices to compliance@dhanzoapp.com or our registered office.

25.6 Language. If these Terms are translated, the English version prevails.

25.7 Relationship. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and Dhanzo, except as stated in Clause 27.8. You may not bind Dhanzo in any way.

25.8 Survival. Provisions which by their nature are intended to continue after termination, including Clauses 3, 8, 13, 16 to 21, 24, 25 and 27, will survive termination.

25.9 Remedies are cumulative. Dhanzo's rights and remedies under these Terms are in addition to any other rights and remedies available at law.

25.10 Costs. Except as otherwise stated in these Terms, each party bears its own costs in connection with these Terms.

25.11 Your records. You should maintain your own records of all transactions, filings and documents independently of the Platform. Dhanzo may retain your information as permitted by law and the Privacy Policy.

25.12 Fees for features. Dhanzo may charge for features or Services that are currently free, after giving notice on the Platform. You will not be charged for any such feature unless you choose to use it after the notice.

26. Service-specific Terms

The following apply in addition to the rest of these Terms, depending on the Service you order.

26.1 Company, LLP and business registrations.

  1. Name approval is at the discretion of the Registrar. You may propose up to the number of names the relevant form allows, and Dhanzo and Expert Partners do not guarantee that any name will be approved.
  2. Stamp duty depends on the State of your registered office and your authorised capital, and is payable by you at actuals as shown before payment.
  3. Digital signature certificates are issued by licensed Certifying Authorities. Where the Certifying Authority requires you to pay it directly for the certificate or video KYC, you must do so.
  4. Bank account opening is at the discretion of the bank you choose. With your consent, we may share your name, phone number and email with that bank.
  5. A company must appoint its first statutory auditor within thirty (30) days of incorporation, and an LLP must file its LLP agreement within thirty (30) days of incorporation. Unless your Order includes these, they are your responsibility.

26.2 Trademark and intellectual property services.

  1. Prices are for one class unless stated otherwise. Each additional class is charged separately.
  2. Dhanzo and Expert Partners do not recommend brand names and do not guarantee that a trademark is available or will be registered. Registration is at the discretion of the Trade Marks Registry.
  3. Objections, oppositions, show-cause hearings and refusals are outside Dhanzo's control. Replies and representation at hearings, where needed, are separate Services, and representation is by a registered trade marks agent or advocate.
  4. You are responsible for tracking your application on the IP India portal, although we will help on request.

26.3 Tax, accounting and compliance services.

  1. Prices for return filing, bookkeeping and compliance packages apply up to the turnover, invoice volume, number of employees or number of returns stated for the Service. Additional charges apply above those limits, and will be shown to you before you agree.
  2. You are responsible for verifying the accuracy and completeness of every return, filing and accounting record before you approve it, and for disclosing all material information.
  3. You remain responsible for knowing and meeting all due dates and compliance obligations that apply to you. Penalties, interest and taxes arising from your non-compliance or late data are payable by you.
  4. Certification of a return or statement by a Regulated Professional, where required, is a separate Reserved Service under Clause 4.

26.4 Closure and strike-off of a company or LLP. Eligibility for closure depends on conditions set by law (for example, no business operations, assets or liabilities, and completed compliance). If you ask us to proceed without meeting them, neither Dhanzo nor the Expert Partner is responsible for a rejection. Government fees, stamp paper, notary costs, taxes and penalties are payable by you.

27. Additional Protections

27.1 Right to refuse or cancel Orders. Dhanzo may refuse or cancel any Order, with a full refund of amounts paid for that Order, if the Service cannot lawfully be provided, if there is an obvious error in the price or description shown on the Platform, or if we reasonably suspect fraud, misuse or a breach of these Terms.

27.2 Changes to the Platform and Services. Dhanzo may add, change, suspend or discontinue any feature, Service or part of the Platform, and may stop supporting older versions of the app. This will not affect an Order already paid for, which we will complete or refund.

27.3 Platform records. Dhanzo's electronic records of your Account, acceptances, Orders, approvals, communications, OTP logs and payments are evidence of what happened on the Platform, unless shown to be wrong. Please tell us of any discrepancy in an Order, invoice or filing record within seven (7) working days of receiving it, so we can investigate it promptly.

27.4 Keeping your own records. Please keep your own copies of documents, filings and acknowledgements. Data loss is a risk with any technology, and Dhanzo is not liable for losses caused by your failure to keep copies.

27.5 Dealings outside the Platform. Dhanzo is not responsible for any advice, payment, arrangement or dispute arising from dealings you have directly with an Expert Partner or any other person outside the Platform. Any amount you pay outside the Platform is at your own risk and is not covered by these Terms or the Refund Policy.

27.6 KYC and lawful use. You agree to provide KYC documents when asked, and confirm that your payments come from legitimate sources. Dhanzo may verify your identity, decline or pause an Order, and report suspicious transactions as required under anti-money laundering and other laws. Giving your Aadhaar number is voluntary unless the law or the Service requires it; you may offer an alternative identity document where the law allows.

27.7 Payment facility. The payment facility on the Platform is not a banking or deposit service, and Dhanzo does not hold your payments as a trustee. Payment partners and banks may decline, limit or reverse transactions under their own rules or regulatory directions.

27.8 No agency. Nothing in these Terms makes Dhanzo your agent or makes you Dhanzo's agent, except where you expressly authorise Dhanzo to collect a fee on behalf of an Expert Partner or Regulated Professional.

27.9 Electronic acceptance. Your acceptance of these Terms, and your approvals and confirmations on the Platform, given by ticking a box, clicking a button, entering an OTP or using an electronic signature, are valid and binding under Section 10A of the Information Technology Act, 2000, as if signed by you.

27.10 Third-party services. Some features rely on third-party services (such as payment gateways, banks, government APIs, communication providers and cloud services), which have their own terms. Dhanzo is not responsible for their acts or omissions.

27.11 Inactive Accounts. Dhanzo may close an Account that has been inactive for more than twenty-four (24) months, after notice to your registered email or mobile number. Unused service credits on such an Account will lapse at their expiry.

28. Content Standards

In line with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you must not host, display, upload, publish, transmit, store or share on the Platform any information that:

  1. belongs to another person and to which you have no right;
  2. is obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or is otherwise unlawful;
  3. is harmful to children;
  4. infringes any patent, trademark, copyright or other proprietary right;
  5. deceives or misleads about its origin, or knowingly communicates misinformation or information that is patently false;
  6. impersonates another person;
  7. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, incites an offence, or prevents the investigation of an offence;
  8. contains software viruses or any other code designed to interrupt, destroy or limit the functionality of any computer resource; or
  9. violates any law in force.

Dhanzo may remove such information, suspend the Account concerned, and act on complaints and lawful orders within the timelines required by law. Complaints about content can be sent to the Grievance Officer in Clause 23.

Part B

Subscription Services Terms

These Subscription Services Terms apply, in addition to the Terms of Use in Part A, when you buy a recurring plan, such as monthly GST return filing, monthly accounting and bookkeeping, payroll, TDS compliance, or annual ROC compliance (a "Subscription"). If there is a conflict, these Subscription Services Terms apply to your Subscription.

1. Your Plan

1.1 The plan page and your order confirmation set out what your Subscription includes: the services and filings covered, the number of entities, GSTINs, transactions, invoices or employees included, the periods covered, the price and the billing frequency (the "Plan").

1.2 Services are limited to the scope of your Plan. Anything not listed, such as replies to notices, revised or belated returns, annual returns not in the Plan, audits, additional registrations, or volumes above your Plan limits, is outside the Plan and will be quoted and charged separately, and done only with your agreement.

2. Types of Subscription and Billing

2.1 Monthly Subscription (AutoPay). Monthly plans are prepaid and renew automatically each month if you opt in to AutoPay. The fee for each cycle is charged to the payment method you authorised at the start of that cycle, and Services for that cycle are available once the payment is realised.

2.2 Yearly Subscription. Yearly plans are a one-time prepaid payment covering the period stated in your Plan. Services start only after full payment is received. A yearly plan renews only if you choose to renew it or opt in to auto-renewal.

2.3 Opting in to auto-renewal. Auto-renewal applies only if you choose it at checkout by ticking a separate box that is not pre-ticked. You can switch it off at any time from "My Subscriptions".

2.4 Mandates and pre-debit notices. Recurring payments are made only through an e-mandate or standing instruction that you set up and authenticate with your bank, card issuer or UPI app, in line with Reserve Bank of India rules. You will receive a notification at least twenty-four (24) hours before each debit showing the amount and date, with an option to cancel. Any debit above the limit set by the RBI for such mandates needs your fresh authentication.

2.5 Price changes. We will notify you of any change in the price of your Plan at least thirty (30) days before the next billing cycle. The new price applies only from that cycle, and only if you do not cancel before it starts.

3. Term

3.1 Your Subscription starts on the date payment is realised, or a later start date shown on your order confirmation, and continues for the period of your Plan and any renewals (the "Subscription Term").

3.2 Filings and services are covered only for periods falling within the Subscription Term. Filings for earlier periods are not included unless your Plan says so, and may be ordered separately.

4. Payment Default and Suspension

4.1 You must keep an active and valid payment method on file for AutoPay.

4.2 If a payment fails or is not realised, we will notify you, and Services under your Subscription will be suspended from that date until payment is received. During suspension, we have no obligation to start or continue any Service.

4.3 No liability for consequences of non-payment. Dhanzo is not liable for any late fee, interest, penalty, notice or other legal consequence of a compliance default that occurs because your Subscription was suspended for non-payment or delay in sharing request details or documents by user

5. Your Responsibilities

5.1 You must share the data and documents listed for your Plan by the cut-off date shown on the Platform for each period (for example, sales and purchase invoices for GST returns by the 5th of the following month).

5.2 You must respond to queries from our Experts within a reasonable time, and approve each draft filing on the Platform before it is filed.

5.3 If your data or approval arrives after the cut-off date, we will make reasonable efforts to file on time but cannot guarantee it. Late fees, interest or penalties caused by late or incomplete data, or late approval, are your responsibility.

6. Cancellation and Refunds

6.1 You can cancel at any time, as easily as you subscribed, from "My Subscriptions" in your Account or by writing to hello@dhanzoapp.com. Cancelling also stops AutoPay with us, and you may separately revoke the mandate with your bank or UPI app.

6.2 Monthly Subscriptions. Subscription payments are non-refundable once billed. Cancellation takes effect from the next billing cycle, and Services continue until the end of the cycle already paid for.

6.3 Yearly Subscriptions. Yearly Subscription payments are non-refundable once billed, including if you cancel part-way through the year. Cancelling stops renewal only, and your Services continue until the end of the year you have paid for. This is shown to you clearly before you pay, and you confirm it at checkout. It does not affect Clause 6.4 (refund or credit if Dhanzo fails to deliver) or any right you have under law.

6.4 If we fail to deliver a Service covered by your Plan for a billing cycle for reasons within our control, you will receive a refund or credit for that Service, as set out in the Schedule.

7. Changing your Plan

You may upgrade your Plan at any time, and the price difference for the rest of the current cycle will be charged on a pro-rata basis. Downgrades take effect from the next billing cycle.

8. Suspension or Termination by Dhanzo

8.1 We may suspend or end your Subscription if you breach Part A or these Subscription Services Terms, do not pay, or if continuing would breach the law.

8.2 If we end your Subscription for a reason other than your breach or non-payment, we will refund the unused portion of any prepaid fees on a pro-rata basis.

9. Liability for Subscriptions

To the maximum extent permitted by law, and subject to Clause 20.3 of Part A, Dhanzo's total liability for any claim relating to a Subscription is limited to the fees you paid for the single most recent billing cycle of that Subscription.

10. Handover

When your Subscription ends, you may download all filings, acknowledgements and reports from your Account for ninety (90) days. After that, we may delete them, except where the law requires us to keep them. On request, we will help hand over to another service provider.

Schedule

Refund, Cancellation and Rescheduling Policy

This Policy forms part of the Terms of Use. By completing a payment on the Platform, you confirm that you have read and agree to it.

1. General Principles

1.1 Our Services are process-driven and Expert-led, and work on your Order begins as soon as payment is confirmed. For that reason, payments are generally final once work has started.

1.2 No refund is available for:

  1. a change of mind after work has started;
  2. disagreement with an Expert's professional view, where the Service has been delivered as described;
  3. delays, queries, objections or rejections by government or regulatory authorities, or portal outages;
  4. incorrect, incomplete or late documents or information provided by you;
  5. your failure to respond to Expert communications or approve drafts; or
  6. your choice not to use a Service you have booked.

1.3 This Policy does not limit any right you have under the Consumer Protection Act, 2019, including where a Service is deficient.

2. Cancellation of One-time Services

2.1 Once an Order is placed and payment is confirmed, the Order cannot be cancelled after an Expert has been assigned or work has started.

2.2 24-hour cancellation window. You may cancel an Order within twenty-four (24) hours of payment, provided no Expert Partner has started work on it and no Government Fees have been paid, by using "Cancel Order" in your Account. You will receive a full refund of the amount paid, less payment gateway charges at actuals. Consultations whose slot falls within these twenty-four (24) hours are covered by Clause 5 instead.

2.3 Change of service. Within seven (7) days of payment, and before work has started, you may ask to switch your Order to a different Service. We will adjust the price difference, collecting or refunding it as applicable.

2.4 Putting an Order on hold. If you are not ready to proceed, you may ask us to hold your Order instead of cancelling it. The amount paid will be kept as a service credit in your Account for twelve (12) months, which you can use for the same or any other Service. Service credits cannot be exchanged for cash, transferred to another person or business, or used after they expire.

3. When You Will Get a Refund

4. Government Fees and Third-party Charges

4.1 Statutory fees, stamp duty, filing charges, registration costs and other third-party payments are not refundable once paid, because Dhanzo does not control them. If an authority refunds any such amount, we will pass it on to you.

4.2 Fees of a Regulated Professional for a Reserved Service are refundable only under that professional's own terms.

5. Consultations and Rescheduling

5.1 You may reschedule a Consultation once, free of charge, if you do so at least four (4) hours before the booked slot. Further rescheduling, or rescheduling with less notice, is not available.

5.2 If you do not join within ten (10) minutes of the start of the booked slot, or are unavailable or do not respond during it, the Consultation will be treated as delivered and closed, and no refund or alternative slot will be provided.

5.3 If the Expert does not join, or the Consultation cannot take place because of a problem on our side, we will offer you a new slot at no extra charge or, if you prefer, a full refund.

6. Subscriptions

Refunds and cancellation for Subscriptions are governed by Clause 6 of the Subscription Services Terms in Part B.

7. How to Request a Refund

7.1 Request a cancellation or refund from "My Orders" or "My Subscriptions" in your Account, or by writing to compliance@dhanzoapp.com from your registered email, with your order number and reason. Refund requests must be made within sixty (60) days of payment. After that, any amount found due will be given as a service credit, unless the law requires otherwise.

7.2 Please report payment errors and duplicate payments promptly, preferably within forty-eight (48) hours, so we can check them quickly.

7.3 We will review your request and inform you of our decision within five (5) working days. Approved refunds are made to the original payment method within seven (7) to ten (10) working days of approval. Your bank, UPI provider or payment gateway may take additional time to credit the amount, which is outside our control.

8. Chargebacks and Fraud

8.1 Please contact our support team before raising a payment dispute or chargeback with your bank. Most issues can be resolved quickly through support.

8.2 Chargebacks raised without first contacting us, or refund claims we find to be fraudulent, may lead to suspension or termination of your Account and recovery action. This does not affect any right you have under law or under your bank's or the RBI's dispute rules.

9. Governing Law

This Policy is governed by the laws of India. Disputes are resolved as set out in Clause 24 of the Terms of Use.
